Terms of Service

IMPORTANT NOTICE: Section 22 contains a binding arbitration agreement and class-action waiver. It affects your right to have disputes decided by a court or jury. You may opt out of arbitration within 30 days as described in Section 22.

These Terms of Service (“Terms”) form a legally binding agreement between you and Kozy Labs, LLC, a New Jersey limited liability company and the operator of KOZY (“KOZY,” “we,” “us,” or “our”). These Terms govern your access to and use of the KOZY mobile application, website, and related services (collectively, the “Service”).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms, our Privacy Policy, and other policies that are expressly incorporated by reference. If you do not agree, do not create an account or use the Service.

1. Eligibility and Geographic Availability

You must be at least 18 years old and legally capable of entering into a binding contract to use KOZY. By using the Service, you represent and warrant that you satisfy these requirements and are not prohibited from using the Service under applicable law.

KOZY may be offered in selected markets in the United States and may expand or restrict availability from time to time. The availability of KOZY in a particular location does not mean that KOZY has verified that every listing, roommate arrangement, sublease, lease, or user activity is lawful in that location.

2. What KOZY Is — and Is Not

KOZY is a technology platform intended to help users create profiles, discover potential roommates, browse or post room or housing opportunities, view general location or distance information, communicate with other users, and use safety tools such as blocking and reporting.

Unless KOZY expressly states otherwise for a specific feature, KOZY is not a real estate broker, real estate salesperson or agent, landlord, property manager, tenant-screening company, consumer reporting agency, credit-reporting agency, employment agency, insurer, escrow agent, fiduciary, legal adviser, or party to any lease, sublease, roommate agreement, deposit, payment, or other transaction between users.

KOZY does not own, possess, inspect, control, lease, manage, or guarantee properties posted by users. No agency, brokerage, fiduciary, partnership, joint venture, employment, or landlord-tenant relationship is created between KOZY and any user merely because the user accesses or uses the Service.

3. Accounts and Account Security

• Provide accurate, current, and complete registration and profile information and keep it updated.
• Maintain the confidentiality and security of your login credentials and devices.
• Use only an account that belongs to you and do not impersonate another person or entity.
• Do not sell, transfer, rent, share, or assign your account to another person.
• Notify KOZY promptly at info@getkozy.app if you suspect unauthorized access or misuse of your account.
• Do not create a new account to evade a suspension, restriction, or ban.

You are responsible for activity conducted through your account to the extent permitted by law. KOZY may use email, phone, photo, device, or other verification methods, but any verification only confirms the specific information or step stated by KOZY. It is not a guarantee of identity, character, safety, financial condition, criminal history, housing authority, or trustworthiness.

4. Profiles, Listings, and Authority to Post

You are solely responsible for the accuracy, legality, and completeness of information you submit, including profile information, photos, roommate preferences, listing descriptions, prices, availability, housing details, and communications (“User Content”).

If you post or offer a room, apartment, lease, sublease, assignment, or other housing opportunity, you represent and warrant that you have the legal right and all necessary permissions to advertise and offer it, and that your listing and conduct comply with applicable law, lease restrictions, building rules, condominium or cooperative rules, and any required approvals.

You may not post fake, duplicate, materially misleading, unavailable, bait-and-switch, unlawfully discriminatory, or unauthorized listings. KOZY may remove, limit, label, suspend, or investigate content that appears to violate these Terms or create a risk to users or the Service.

5. Fair Housing, Anti-Discrimination, and Roommate Preferences

Users are responsible for complying with all federal, state, and local fair-housing and anti-discrimination laws that apply to their listings, preferences, communications, and transactions. Housing laws vary by location and by the nature of the living arrangement.

You may not use KOZY to publish or communicate an unlawful preference, limitation, exclusion, or discriminatory statement based on a legally protected characteristic. Depending on applicable law, protected characteristics may include race, color, religion, national origin, sex, gender, gender identity or expression, sexual orientation, familial status, disability, age, marital or partnership status, lawful source of income, military or veteran status, citizenship or immigration status, and other protected categories.

Some laws treat genuine shared-living roommate arrangements differently from the rental of a separate dwelling unit. KOZY may provide roommate-specific preference tools only for lawful shared-living uses. The existence of a field or filter in KOZY does not mean that using it in a particular situation is lawful. You are responsible for obtaining legal advice when needed.

6. Prohibited Conduct

You may not use KOZY to:

• Harass, threaten, stalk, bully, intimidate, exploit, coerce, or abuse another person.
• Engage in fraud, scams, phishing, identity theft, advance-fee schemes, deceptive reviews, fake references, or misrepresentation.
• Request or collect Social Security numbers, bank credentials, passwords, government identification, or other highly sensitive information unless lawfully necessary for a legitimate transaction and handled securely.
• Pressure another user to send money or sensitive information before the user has a reasonable opportunity to verify the person, property, and transaction.
• Solicit prostitution, human trafficking, illegal drugs, weapons, or other unlawful goods or services.
• Post unlawful, threatening, hateful, sexually exploitative, infringing, or malicious content.
• Publish another person’s private information without authorization or use KOZY data to harass, discriminate against, profile, surveil, or harm another person.
• Send spam, mass solicitations, chain messages, or unauthorized advertising unrelated to the Service.
• Scrape, harvest, crawl, index, copy, or extract KOZY data through bots, scripts, automated tools, or other means without our written permission.
• Upload malware, probe vulnerabilities, interfere with system integrity, bypass technical protections, or attempt unauthorized access to KOZY, another user’s account, or connected systems.
• Use KOZY or data obtained through KOZY to make employment, credit, insurance, tenant-screening, or other eligibility decisions that are subject to the Fair Credit Reporting Act or similar laws unless KOZY has expressly authorized such a feature and all legal requirements are satisfied.

7. Messaging, Blocking, Reporting, and Moderation

KOZY may allow users to send chat requests and messages. You are responsible for your communications and decisions regarding other users. KOZY does not guarantee that messages will be delivered, retained, confidential, or available at all times.

KOZY may use automated systems and, where reasonably necessary, authorized personnel to review content associated with reports, safety concerns, suspected fraud, harassment, illegal activity, policy enforcement, customer support, or legal obligations. KOZY does not undertake a duty to monitor every user or communication.

Blocking may limit future interaction but does not erase information already delivered, copied, downloaded, or saved by another user. Knowingly submitting a false, retaliatory, or malicious report is prohibited.

8. User Content and License to KOZY

You retain ownership of your User Content. By submitting User Content, you grant KOZY a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, reproduce, transmit, display, distribute, format, and technically modify that content only as reasonably necessary to operate, secure, maintain, improve, and provide the Service; deliver it to intended users; investigate reports and violations; and comply with law.

KOZY will not use your private messages or private profile content in external advertising merely because you submitted it. If KOZY wants to use identifiable User Content in marketing or promotional materials beyond operating the Service, we will obtain separate permission when required.

The license generally ends when the content is deleted from active systems, except to the extent the content has already been delivered to other users, is retained in backups, must be retained for safety, fraud-prevention, legal, or dispute purposes, or is otherwise permitted by law.

9. Copyright and Intellectual Property Complaints

You may not upload content that infringes another person’s copyright, trademark, privacy, publicity, or other intellectual-property rights. KOZY may remove allegedly infringing content and may suspend or terminate repeat infringers in appropriate circumstances.

Copyright complaints may be sent to info@getkozy.app and should identify the copyrighted work, the allegedly infringing material and its location in KOZY, the complainant’s contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate and that the complainant is authorized to act, and a physical or electronic signature. If KOZY designates a formal DMCA agent, the current agent information will be posted on www.getkozy.app and registered as required by law.

10. KOZY Intellectual Property

The Service and all software, design, interfaces, databases, logos, trademarks, graphics, text, and other content provided by KOZY, excluding User Content, are owned by or licensed to KOZY and are protected by intellectual-property laws. KOZY grants you a limited, revocable, personal, non-exclusive, non-transferable license to use the Service for its intended consumer purpose.

Except where law expressly permits otherwise, you may not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, create derivative works from, or commercially exploit the Service without KOZY’s written permission.

11. Location Information

With permission, KOZY may use device location or a location you manually provide to show nearby users or housing opportunities, calculate approximate distances, and provide location-based search or recommendations. Location information can be inaccurate because of device settings, network conditions, mapping data, user input, or technical limitations.

Do not rely on KOZY location information for emergencies, personal safety, navigation, legal verification, property boundaries, or proof that a person or property is where it claims to be. You may control location permissions through your device settings.

12. No Background Check, Screening, or Consumer Report

Unless KOZY expressly states otherwise for a specific feature, KOZY does not conduct criminal background checks, credit checks, employment verification, landlord verification, identity-document verification, property-title verification, or tenant screening. KOZY is not a “consumer reporting agency” and the Service is not a “consumer report” for purposes of the Fair Credit Reporting Act.

You should independently evaluate potential roommates, properties, landlords, tenants, subtenants, and transactions and obtain professional screening or legal assistance where appropriate.

13. User-to-User Transactions, Payments, and Deposits

Unless KOZY expressly launches a payment feature, KOZY does not collect, hold, escrow, transmit, guarantee, refund, or insure rent, security deposits, application fees, brokerage fees, or other payments between users.

Before sending money, signing a document, or sharing sensitive information, independently verify the other person’s identity and authority, the property’s existence and condition, the legality of the transaction, lease or sublease restrictions, payment instructions, refund terms, and any required approvals.

KOZY is not responsible for money or property transferred directly between users, for unauthorized or fraudulent payment instructions, or for disputes arising from a lease, sublease, roommate arrangement, deposit, property condition, or other user transaction.

14. Safety and In-Person Meetings

Interactions with strangers and housing transactions involve risk. KOZY does not guarantee any user’s identity, criminal history, employment, income, creditworthiness, immigration status, housing authority, property ownership, compatibility, health status, intentions, safety, or truthfulness.

Use reasonable precautions. When practical, meet first in a public place, tell a trusted person where you are going, inspect housing independently, verify ownership or rental authority, review documents before paying, use written agreements, avoid high-risk payment methods, and do not disclose highly sensitive personal information prematurely. If you are in immediate danger, contact local emergency services.

15. Paid Features and Subscriptions

KOZY may offer paid features or subscriptions in the future. If it does, the applicable price, billing period, renewal terms, cancellation method, and any material restrictions will be disclosed before purchase. Purchases made through Apple, Google, or another app store may also be governed by that store’s billing and refund rules. Nothing in this section creates an obligation for KOZY to offer paid features.

16. Third-Party Services and App Stores

KOZY may integrate with third-party services, including sign-in providers, map services, cloud services, notification providers, analytics tools, payment processors, and external websites. Third parties operate under their own terms and privacy policies. KOZY is not responsible for their independent acts or omissions.

If you download KOZY through an app store, the app store may be a third-party beneficiary of provisions relating to your license to use the app and may enforce those provisions as permitted by its terms. KOZY, not the app store, is responsible for the Service, subject to these Terms and applicable law.

17. Service Changes, Availability, and Beta Features

KOZY may add, modify, suspend, test, or discontinue features at any time. Some features may be labeled beta, experimental, preview, or similar and may be incomplete or changed without notice.

We do not guarantee uninterrupted availability, error-free operation, successful matches, responses from other users, message delivery, listing availability, data preservation, or that a particular feature will remain available.

18. Suspension and Termination

You may stop using KOZY at any time and may delete your account through available in-app settings. KOZY may restrict, suspend, or terminate access, remove content, preserve relevant records, or take other reasonable action if we believe you violated these Terms, created a safety or security risk, engaged in fraud or deception, exposed KOZY or another person to potential liability, repeatedly infringed rights, or if action is required by law.

Serious safety, fraud, abuse, or legal violations may result in immediate action without advance notice. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and legal rights concerning retained records — will survive.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” KOZY DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

KOZY DOES NOT WARRANT OR GUARANTEE THE IDENTITY, CONDUCT, SAFETY, LEGAL AUTHORITY, FINANCIAL CONDITION, COMPATIBILITY, HONESTY, OR ACCURACY OF ANY USER, LISTING, PROPERTY, MESSAGE, MATCH, RECOMMENDATION, OR TRANSACTION. NO ADVICE OR INFORMATION FROM KOZY CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Some jurisdictions do not permit certain warranty exclusions, so some of the foregoing may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOZY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOSS OF HOUSING, PROPERTY DAMAGE, PERSONAL INJURY, EMOTIONAL DISTRESS, FRAUD BY ANOTHER USER, UNAUTHORIZED PAYMENTS, LEASE OR ROOMMATE DISPUTES, OR LOSSES ARISING FROM USER MEETINGS OR TRANSACTIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOZY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO KOZY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, and nothing waives non-waivable consumer rights.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless KOZY and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to your User Content, listing or property, transaction or interaction with another user, violation of these Terms, violation of law, infringement of another person’s rights, or fraudulent, negligent, or wrongful conduct.

KOZY reserves the right, at its expense, to assume exclusive defense and control of a matter otherwise subject to indemnification, and you agree to reasonably cooperate with that defense.

22. Binding Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Except for the limited exceptions below, you and KOZY agree to resolve disputes through individual binding arbitration rather than in court. Arbitration means there is no judge or jury, and court review is limited.

22.1 Informal Resolution First

Before starting arbitration, either party must send the other a written notice describing the dispute, relevant facts, and requested relief. Notices to KOZY must be sent to info@getkozy.app with the subject line “Legal Dispute Notice.” The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice. This requirement does not prevent either party from seeking emergency relief when delay would cause immediate and irreparable harm.

22.2 Agreement to Arbitrate

If the dispute is not resolved informally, you and KOZY agree that any dispute, claim, or controversy arising out of or relating to the Service, these Terms, the Privacy Policy, your account, or your relationship with KOZY will be resolved by final and binding arbitration on an individual basis, except as stated below. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

22.3 Arbitration Rules

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by these Terms. Information about AAA rules is available from AAA. The arbitrator may award the same individual remedies that would be available in court, including attorneys’ fees where authorized by law. Arbitration may be conducted by documents, telephone, video conference, or an in-person hearing as allowed by the applicable rules. Fees will be allocated under the applicable AAA consumer rules and applicable law.

22.4 Exceptions

Either party may bring an individual claim in small claims court if the claim qualifies and remains on an individual basis. Either party may seek temporary or emergency injunctive relief from a court to protect intellectual property, confidential information, account security, or against imminent harm while arbitration is pending. Nothing in this section requires arbitration of a claim that applicable law makes non-arbitrable.

22.5 Class and Representative Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND KOZY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine claims of different users or preside over any class or representative proceeding without the written consent of all parties. This waiver does not apply to rights or remedies that applicable law prohibits the parties from waiving.

22.6 30-Day Right to Opt Out

You may opt out of this arbitration agreement by emailing info@getkozy.app within 30 days after the date you first accept these Terms. Your email must use the subject line “Arbitration Opt-Out” and include your full name, the email address or phone number associated with your KOZY account, and a clear statement that you are opting out of the arbitration agreement. Opting out will not affect your ability to use KOZY, and no other part of these Terms will be affected. An opt-out must be personally submitted for the individual account holder.

22.7 Severability of Arbitration Terms

If a court or arbitrator finds a portion of this Section 22 unenforceable, that portion will be severed to the minimum extent necessary and the remainder will remain in effect, except that if the class-action waiver is found unenforceable as to a particular claim that cannot lawfully be arbitrated on an individual basis, that claim will proceed in court and may be stayed while arbitrable claims are resolved.

23. Governing Law and Court Venue

Except to the extent the Federal Arbitration Act governs Section 22 or applicable consumer law requires otherwise, these Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

For any dispute that is not subject to arbitration and is not properly brought in small claims court, you and KOZY consent to the personal jurisdiction of state and federal courts located in New Jersey, except where applicable law gives you a non-waivable right to proceed elsewhere.

24. Electronic Communications and Notices

You consent to receive notices, disclosures, account messages, security alerts, and other legally permitted communications electronically through the Service, email, push notification, or other contact information associated with your account. You are responsible for keeping your contact information current.

If KOZY sends marketing emails or non-essential text messages, you may opt out using the unsubscribe or STOP instructions provided, where applicable. You may still receive transactional, security, legal, and account-related communications.

25. Changes to These Terms

KOZY may update these Terms to reflect changes in the Service, law, security practices, or business operations. We will update the effective or last-updated date and, when required, provide additional notice through the Service, website, email, or another reasonable method. Material changes will apply prospectively. If applicable law requires renewed consent, we will request it.

26. General Provisions

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. KOZY’s failure to enforce a provision is not a waiver. You may not assign these Terms without KOZY’s written consent. KOZY may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or by operation of law.

These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and KOZY regarding the Service and supersede prior agreements on the same subject.
